The purpose of this position is to provide legal counsel, direction, and education to company management and personnel, and to enable the company effectively to transact all aspects of its business with an appropriate degree of risk and consistency with the company's legal and ethical obligations, with a particular focus on the Company's reporting and other obligations under securities laws and on corporate governance. Provide legal counsel to management on the Company's disclosure, reporting, and other obligations under the securities laws and prepare or assist in preparing periodic reports and registrations under the Securities Act of 1933 and the Securities Exchange Act of 1934, including Forms 10-K, 10-Q, 4 and S-8.
